Die EU-Kommission hat heute, 9. Juli 2018, die wettbewerbsrechtliche Freigabe für den 100-prozentigen Kauf von UPC Austria durch T-Mobile Austria erteilt. Die Freigabe erfolgte ohne Auflagen. Damit ist der Weg frei für den Zusammenschluss von Österreichs beliebtestem Mobilfunker T-Mobile (Leservoting des Fachmagazins Connect) mit Österreichs führendem Kabelanbieter UPC Austria. Der Abschluss des Kaufs wird mit 31. Juli 2018 erfolgen.

„Wir werden mit dem neuen Unternehmen aus T-Mobile Austria und UPC Austria den führenden Breitbandanbieter des digitalen Österreichs schaffen. Das ultraschnelle UPC-Glasfaserkabelnetz, verbunden mit unserem leistungsstarken LTE-Netz, versetzt uns in die Pole-Position, um bei Internet-Speed, Service und Entertainment die Besten in Österreich zu sein“, erklärte Andreas Bierwirth, CEO von T-Mobile Austria. „Damit sichern wir Österreichs Anschluss an die Gigabit-Gesellschaft.“

Mit einem Wert von 1,9 Milliarden Euro ist der Kauf von UPC Austria durch T-Mobile Austria der größte Telekommunikationsdeal in Österreich seit dem Börsengang der Telekom Austria. Gemeinsam haben T-Mobile Austria und UPC Austria im Jahr 2017 insgesamt 7,2 Millionen Anschlüsse in den Bereichen mobiler und fixer Internetzugang, Telefonie, TV-, Video- und Unterhaltungsangebote. Der konsolidierte Pro-Forma-Umsatz 2017 betrug 1,25 Milliarden Euro.

Durch sein leistungsfähiges integriertes Angebot aus mobilem LTE-Netz, künftig auch 5G, Glasfaserkabelnetz sowie starkem digitalem Entertainmentangebot wird das neue Unternehmen mit attraktiven Bündelangeboten für Privat- und Geschäftskunden ein überzeugender Herausforderer für den bisherigen Marktführer sein. „Wir werden unseren Privat- und Geschäftskunden – wo immer sie sind – für jede Anwendung die bestmögliche Verbindung zur Verfügung stellen, gleich ob über LTE-Netz, Glasfaserkabelnetz, LTE-DSL-Hybrid oder künftig auch 5G“, erklärte Bierwirth.

Vorerst bleibt für bestehende Kunden in Österreich vertraglich alles gleich: T-Mobile-Kunden bleiben T-Mobile-Kunden, UPC-Kunden bleiben UPC-Kunden. Service und Verkauf erfolgen wie bisher über das jeweilige Unternehmen. Attraktive gemeinsame Angebote des neuen Unternehmens werden 2019 auf den Markt kommen.

The EU Commission today, July 9, 2018, approved the acquisition of a 100 percent stake in UPC Austria under competition law. The approval was unconditional. This clears the way for the merger of Austria’s most popular mobile operator T-Mobile (reader voting by telecommunications magazine Connect) with Austria’s leading cable provider UPC Austria. The purchase will be completed on July 31, 2018.

„With the new company made up of T-Mobile Austria and UPC Austria, we will create the leading broadband provider in digital Austria. The ultra-fast UPC fiber optic cable network, combined with our powerful LTE network, puts us in pole position to be the best in Austria in terms of Internet speed, service and entertainment,“ explained Andreas Bierwirth, CEO of T-Mobile Austria. „This will enable us to safeguard Austria’s integration into the gigabit society.“

Valued at EUR 1.9 billion, T-Mobile Austria’s acquisition of UPC Austria is the largest telecommunications deal in Austria since the Telekom Austria IPO.
T-Mobile Austria and UPC Austria together have a total of 7.2 million subscriptions in the areas of mobile and fixed Internet access, telephony, TV, video and entertainment services in 2017. Consolidated pro forma sales in 2017 amounted to 1.25 billion euros.

With its powerful integrated offering of a mobile LTE network, in future also 5G, a fiber optic cable network and a strong digital entertainment offering, the new company will be a convincing challenger for the current market leader with attractive bundled offers for consumers and business customers. „We will provide our consumer and business customers – wherever they may be – with the best possible connection for every application, be it via LTE network, fiber-optic cable network, LTE-DSL hybrid or -going forward- 5G,“ explained Bierwirth.

For the time being, all contracts will stay as they are for existing customers in Austria: T-Mobile customers remain T-Mobile customers, UPC customers remain UPC customers. Service and sales will continue to be handled by the respective company. Attractive joint offerings from the new company will be launched on the market in 2019.
